1. Eligibility & Client Representations

1.1 By engaging Meserii, you represent that you are authorized to bind the business or organization on whose behalf you are acting, and that all information provided (company name, GSTIN, billing/shipping address, contact details) is accurate and current.

1.2 Meserii reserves the right to request business verification (e.g., GST certificate, company PAN, authorization letter) before confirming large or first-time orders.

2. Quotations & Orders

2.1 All quotations issued by Meserii are valid for the period stated therein (or, if unstated, 7 days from the date of issue) and are subject to change without notice thereafter due to raw material, printing, or logistics cost fluctuations.

2.2 An order is confirmed only upon (a) written acceptance of the quotation, (b) receipt of the agreed advance payment, and (c) approval of the design/branding proof, where applicable.

2.3 Bulk, customized, and branded orders are manufactured or procured specifically for the Client and are governed by the specifications, quantities, and artwork finalized in writing (email or signed purchase order) prior to production.

2.4 Minimum order quantities (MOQs) may apply and will be communicated at the time of quotation.

3. Pricing & Payment Terms

3.1 All prices are quoted in Indian Rupees (INR) exclusive of GST unless stated otherwise, and are subject to applicable taxes at the prevailing rate.

3.2 Unless otherwise agreed in writing, payment terms are: 50% advance on order confirmation, 50% before dispatch. Custom payment terms for corporate accounts may be extended at Meserii's discretion and documented separately.

3.3 Production will not commence, and dispatch will not occur, until the applicable advance/full payment is received and cleared.

3.4 Late payments may attract interest at 10% per month on the overdue amount, and Meserii reserves the right to withhold future orders/deliveries until outstanding dues are cleared.

3.5 All bank charges, transaction fees, and applicable TDS (if any) are to be borne/handled by the Client as per statutory requirements, unless otherwise agreed.

4. Customization, Branding & Artwork

4.1 The Client is responsible for providing print-ready artwork/logo files in the required format and for approving a physical or digital proof/sample before bulk production begins.

4.2 Meserii is not liable for errors (spelling, color, logo placement, etc.) that were present in Client-approved artwork or proofs.

4.3 Minor variations in color, texture, or finish may occur between digital proofs/samples and the final bulk production due to the nature of materials and printing processes; such variations do not constitute a defect.

4.4 The Client warrants that it holds all necessary rights, licenses, and permissions for any logos, trademarks, or content submitted to Meserii for branding, and agrees to indemnify Meserii against any third-party IP claims arising from such content.

5. Production Timelines & Delivery

5.1 Estimated production and delivery timelines will be communicated at the time of order confirmation and commence from the date of full advance payment and final artwork approval, whichever is later.

5.2 Meserii guarantees timely delivery as per the agreed timeline; in the event of a delay attributable to Meserii, we will proactively communicate revised timelines and, where applicable, offer reasonable compensation (e.g., discount, expedited shipping) as mutually agreed.

5.3 Meserii is not liable for delays caused by factors beyond its reasonable control, including but not limited to courier/logistics disruptions, customs delays, natural disasters, strikes, vendor delays, or force majeure events (see Section 10).

5.4 Delivery is made to the address specified by the Client at the time of order. Any change of address after dispatch may incur additional charges and delays.

5.5 Risk in the goods passes to the Client upon handover to the courier/logistics partner; however, Meserii will assist in resolving claims for goods damaged or lost in transit where its Replacement Guarantee applies (Section 6).

6. Quality, Damages & Replacement Guarantee

6.1 Meserii is committed to delivering products that meet the agreed specifications, quantity, and quality standards.

6.2 In the event that goods are found damaged, defective, or materially non-conforming upon delivery, the Client must notify Meserii in writing within 3–5 business days of receipt, along with photographic evidence.

6.3 Valid claims under this Section will be resolved via replacement of the affected units at no additional cost to the Client. Meserii does not offer cash refunds for damaged/defective goods except where replacement is not feasible, at Meserii's discretion.

6.4 This guarantee does not cover damage caused by improper handling, storage, or use by the Client after delivery, nor does it apply to custom/branded items rejected solely due to a change of mind after production has commenced.

7. Cancellations & Order Changes

7.1 Orders may be cancelled or modified only before production has commenced. Once artwork is approved and production begins, cancellation requests may be subject to a cancellation charge covering costs already incurred (materials, printing, labor).

7.2 Custom-branded/personalized products, once produced, cannot be cancelled, returned, or exchanged, except where they qualify under the Replacement Guarantee (Section 6).

7.3 Meserii reserves the right to cancel or refuse any order at its discretion (e.g., inability to source materials, pricing errors, suspected fraud), in which case any advance paid will be refunded in full.

8. Confidentiality

8.1 Each party agrees to keep confidential any pricing, business plans, designs, or proprietary information shared by the other party in connection with an order, and not to disclose such information to third parties without prior written consent, except as required by law.

9. Limitation of Liability

9.1 To the maximum extent permitted by law, Meserii's total liability arising out of or in connection with any order shall not exceed the total value of that specific order.

9.2 Meserii shall not be liable for any indirect, incidental, special, or consequential damages, including loss of business, profits, or goodwill, arising from the supply or use of the Products.

10. Force Majeure

10.1 Meserii shall not be held responsible for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, pandemics, government restrictions, transport disruptions, or supplier failures.

11. Intellectual Property

11.1 All content on the Meserii website, including logos, product designs, and catalogue imagery, is the property of Meserii and may not be reproduced without prior written consent, except as necessary for the Client's internal evaluation of a quotation.

12. Governing Law & Dispute Resolution

12.1 These Terms are governed by the laws of India.

12.2 Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation. Failing resolution within 30 days, the dispute shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India, or, at Meserii's election, submitted to the exclusive jurisdiction of the courts of New Delhi, India.

13. Amendments

13.1 Meserii reserves the right to update these Terms at any time. Continued engagement of our services after such changes constitutes acceptance of the revised Terms.
